- Custom Agreements: Specific deliverables and pricing are defined in your individual Service Agreement or Statement of Work (SOW).
- Your Data is Yours: You retain full ownership of your business data and the final outputs generated by our service.
- Confidentiality: We treat your business workflows and sensitive information with strict confidentiality.
- Teamwork: For our agents and operators to succeed, we rely on you to provide timely context and feedback.
These Terms of Service ("Terms") govern your use of the managed AI services, software, and infrastructure provided by Konigle Pte. Ltd. ("Konigle", "we", "us", or "our"). By engaging our services, you agree to be bound by these Terms.
1. Nature of the Services
Konigle operates a "Human + Agents" business model. We provide a complete, ready-to-work ecosystem designed to solve complex business challenges. Our services consist of:
- AI Agents: Autonomous software designed to execute specific workflows.
- Agent Operators: Trained human staff who oversee, manage, and guide the AI Agents.
- Cloud Infrastructure: The secure, proprietary Hostbento platform that powers our ecosystem.
2. Engagement & Scope of Work
Because our services are tailored to your specific business needs, the exact scope, deliverables, timelines, and pricing will be outlined in a separate Service Agreement or Statement of Work (SOW) signed by both parties. In the event of a conflict between these Terms and a specific SOW, the SOW shall prevail.
3. Client Responsibilities
To ensure our Agent Operators and AI Agents can effectively execute your workflows, you agree to:
- Provide accurate and timely business context and requirements.
- Grant necessary access to third-party systems or software required for the agreed-upon workflows.
- Provide timely review and feedback on the work produced by our ecosystem.
4. Intellectual Property & Data Rights
What we own: Konigle retains all right, title, and interest in our proprietary Hostbento infrastructure, our AI models, software, methodologies, and the tools used by our Agent Operators.
What you own: You retain all ownership rights to your pre-existing business data, customer data, and the final work product or outputs generated specifically for you as part of the executed SOW.
5. Confidentiality
Both parties agree to maintain the strict confidentiality of any proprietary or sensitive information shared during the course of the engagement. Our Agent Operators are trained to handle your business workflows with the utmost discretion. We will not disclose your confidential information to any third parties except as required to perform the services or as mandated by law.
6. Fees & Payment Terms
Fees for our services are not based on generic software subscriptions, but rather on the managed services outlined in your SOW. Invoices will be issued according to the schedule agreed upon in your SOW. Payment is due within the timeframe specified on the invoice. Late payments may result in a temporary suspension of services.
7. Term & Termination
Either party may terminate the engagement by providing written notice as specified in your SOW (typically 30 days). Upon termination, we will securely transfer or destroy your confidential business data in accordance with our Privacy Policy, and you will be billed for any services rendered up to the date of termination.
8. Limitation of Liability & Warranties
While our "Human + Agents" ecosystem is designed to deliver high-quality, efficient results, Konigle provides its services "as is" and "as available". We do not warrant that the services will be completely error-free. To the maximum extent permitted by law, Konigle shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost data, arising out of or related to your use of our services.
9. Changes to Terms
We may update these Terms from time to time. If we make significant changes, we will notify you via email or through our communication channels. Your continued use of our services after such notice constitutes your acceptance of the new Terms.
